Terms of Service

1. Acceptance of Terms

By accessing or using FluxEngine ("the Service"), you agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and the terms and policies of any third-party platforms you connect. If you do not agree to these Terms, do not use the Service.

2. Description of Service

FluxEngine is a social media management platform that enables you to connect social media accounts, upload and manage media content, publish and schedule posts, and view analytics across multiple platforms. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice.

3. Eligibility

  • You must be at least 18 years old to use the Service.
  • You must have the authority to bind yourself (and, if applicable, your organization) to these Terms.
  • You must not be prohibited from using the Service under applicable law.

4. Account Responsibilities

  • You are responsible for maintaining the confidentiality of your account credentials.
  • You are responsible for all activities that occur under your account.
  • You must notify us immediately at security@fluxengine.app if you become aware of any unauthorized access.
  • You must provide accurate and complete information when creating your account and keep it up to date.

5. Third-Party Platform Terms

When you connect a social media account to FluxEngine, you agree to comply with that platform's terms of service, developer policies, and community guidelines. Your use of FluxEngine does not exempt you from your obligations under those terms. Key platform terms include:

These Terms do not supersede, modify, or override the terms of any third-party platform. If there is a conflict between these Terms and a platform's terms, the platform's terms govern your use of that platform's services.

6. Content Ownership & Licensing

Your content: You retain full ownership of all content you upload to or publish through FluxEngine. By using the Service, you grant us a limited, non-exclusive, non-transferable license to store, process, and transmit your content solely as necessary to provide the Service (e.g., uploading a video to TikTok on your behalf).

Platform content: Content retrieved from third-party platforms (e.g., video metadata, analytics) remains subject to that platform's terms and may not be used outside of FluxEngine.

Our content: The FluxEngine platform, including its code, design, brand identity, and documentation, is our sole property. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service.

7. Prohibited Uses

You agree not to:

  • Violate any third-party platform's terms of service, API policies, or community guidelines.
  • Post content that is illegal, infringing, defamatory, hateful, sexually exploitative, or promotes violence.
  • Use the Service for spam, automated bulk posting, or artificially inflating engagement.
  • Attempt to circumvent API rate limits, platform restrictions, or content moderation systems.
  • Use the Service for surveillance, unauthorized tracking, or monitoring of individuals.
  • Sell, rent, sublicense, or redistribute data obtained through the Service.
  • Reverse engineer, decompile, or disassemble any part of the Service.
  • Use the Service to build a competing product.

8. Data Deletion & Account Closure

You may disconnect any connected social media platform at any time through the FluxEngine dashboard. Upon disconnection, we will delete all data associated with that platform connection according to the deletion timelines specified in our Privacy Policy.

You may delete your FluxEngine account at any time. Upon deletion, we will remove all your personal data, uploaded media, OAuth tokens, analytics data, and post history within 30 days.

We may also terminate or suspend your account if you violate these Terms, with notice where practicable. Upon termination by us, the same deletion procedures apply.

9. Express Consent for Platform Actions

By connecting a social media account and initiating a publish, schedule, or draft action through FluxEngine, you expressly consent to FluxEngine:

  • Posting content to the connected platform on your behalf.
  • Accessing your profile information and content metadata for display within the dashboard.
  • Retrieving engagement statistics and analytics data from the platform.
  • Storing your OAuth credentials (encrypted) to maintain the connection.

You retain full control over what is published. FluxEngine will never post, modify, or delete content on any platform without an explicit action initiated by you.

10. Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

IN NO EVENT SHALL FLUXENGINE, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF REVENUE, API THROTTLING, CONTENT REMOVAL BY THIRD-PARTY PLATFORMS, ACCOUNT SUSPENSION BY THIRD-PARTY PLATFORMS, OR SERVICE INTERRUPTIONS.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED US DOLLARS ($100), WHICHEVER IS LESS.

11. Indemnification

You agree to indemnify, defend, and hold harmless FluxEngine and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party platform's terms; (d) content you upload or publish through the Service; or (e) your violation of any applicable law.

12. Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within 30 days, either party may pursue resolution through binding arbitration or in a court of competent jurisdiction.

You agree that any dispute resolution proceedings will be conducted on an individual basis and not as part of a class, consolidated, or representative action.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles. Nothing in these Terms affects your statutory rights as a consumer under the mandatory laws of your country of residence, including the GDPR for EEA/UK residents.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you via your registered email address at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
